3/2022 Acquisition of shares in UPC Polska and utilization of Facility Agreement

With reference to current reports no. ESPI 10/2021 dated September 22, 2021, and no. ESPI 13/2021 dated December 10, 2021, the Management Board of P4 sp. z o.o. (the “Company”, “Play”) hereby reports that on April 1, 2022, the Company completed the acquisition of 100% shares in UPC Polska sp. z o.o. (“UPC Polska”) from its shareholder, UPC Poland Holding B.V. from Liberty Global group.

The Company acquired the shares in UPC Polska for cash consideration of PLN 7.013 billion, out of which PLN 5.5 billion was financed from a drawdown of credit facility based on Facility Agreement dated December 10, 2021.

UPC Polska is one of the largest internet service providers in Poland with 3.7 million homes passed in FTTx and 1.57 million subscribers for the year ending Dec 31, 2021, as reported by Liberty Global PLC.
